Welcome to HashBox. These Terms of Service ("Terms") govern your use of the HashBox platform, website, APIs, and other associated services (collectively, the "Services") provided by HashBox, Inc. ("HashBox," "we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

HashBox provides cryptocurrency payment processing services that enable businesses to accept cryptocurrency payments from their customers. Our Services may include, but are not limited to:

• Processing cryptocurrency transactions
• Creating and managing payment invoices
• Providing tools for payment integration
• Providing analytics and reporting features

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.

5. Fees and Payment

Use of certain Services may be subject to fees. We will provide you with advance notice of any fees associated with the Services. By using the Services, you agree to pay all applicable fees. Fees are non-refundable unless otherwise specified. We reserve the right to change our fee structure at any time by posting the changes on our website or by notifying you directly.

All transactions processed through our Services are subject to network transaction fees (also known as "miner fees" or "gas fees"), which are separate from any fees charged by HashBox. These network transaction fees are paid to the cryptocurrency network and are not controlled by, or paid to, HashBox.

6. User Responsibilities

You are responsible for your use of the Services and for any content you provide. You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Engage in any fraudulent, deceptive, or misleading activity
• Transmit any viruses, malware, or other malicious code
• Interfere with or disrupt the integrity or performance of the Services
• Attempt to gain unauthorized access to the Services or related systems
• Collect or harvest any information from the Services without our consent
• Use the Services for any illegal purpose or in connection with illegal goods or services
• Engage in transactions involving items that infringe or violate any third-party rights

7. Prohibited Businesses

The following businesses and activities are prohibited from using our Services:

• Illegal goods and services
• Counterfeit or unauthorized goods
• Weapons, ammunition, and firearms
• Adult content and services
• Multi-level marketing, pyramid schemes, or Ponzi schemes
• Get-rich-quick schemes or high-yield investment programs
• Unregistered charities or non-profit organizations
• Drug paraphernalia or substances designed to mimic illegal drugs
• Gambling services without proper licensing
• Any business engaged in deceptive marketing practices

We reserve the right to decline to provide Services to businesses engaged in activities that we determine, in our sole discretion, to be prohibited.

8. Compliance with Laws

You agree to comply with all applicable laws, regulations, and third-party agreements that may apply to your use of the Services. This includes, but is not limited to, laws related to anti-money laundering, counter-terrorist financing, sanctions, privacy, data protection, consumer protection, and tax reporting. 9. Know Your Customer and Anti-Money Laundering

We are committed to preventing the use of our Services for money laundering, terrorist financing, or other illegal activities. Accordingly, we maintain a KYC and AML compliance program. As part of this program, we may:

• Report suspicious activity to relevant authorities
• Suspend or terminate your access to the Services if we suspect illegal activity

You agree to cooperate with our KYC and AML requirements and to provide any information we reasonably request to comply with our legal obligations.

10. Intellectual Property Rights

HashBox and its licensors own all right, title, and interest in and to the Services, including all associated intellectual property rights. You acknowledge that the Services are protected by copyright, trademark, and other laws of the Europe and foreign countries. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services.

Subject to your compliance with these Terms, HashBox grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your business purposes. This license does not include the right to copy, modify, distribute, sell, lease, rent, transfer, or create derivative works based on the Services or its content.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HASHBOX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES
• ANY CONTENT OBTAINED FROM THE SERVICES
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT
• BLOCKCHAIN NETWORK ISSUES, INCLUDING CONGESTION, FORKS, OR OTHER TECHNICAL ISSUES
• FLUCTUATIONS IN CRYPTOCURRENCY VALUE
• ANY OTHER MATTER RELATING TO THE SERVICES

IN NO EVENT WILL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST SIX MONTHS.

THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF HASHBOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

12. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. HASHBOX DOES NOT WARRANT THAT THE SERVICES ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR ERROR FREE, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

HASHBOX MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE CRYPTOCURRENCY MARKETS OR THE VALUE OF ANY CRYPTOCURRENCY. YOU ACKNOWLEDGE THAT CRYPTOCURRENCY VALUES CAN BE VOLATILE AND THAT CRYPTOCURRENCY TRANSACTIONS ARE IRREVERSIBLE. YOU ARE SOLELY RESPONSIBLE FOR DETERMINING WHETHER ANY TRANSACTION IS APPROPRIATE FOR YOU BASED ON YOUR PERSONAL OBJECTIVES, FINANCIAL CIRCUMSTANCES, AND RISK TOLERANCE.

13. Indemnification

You agree to indemnify, defend, and hold harmless HashBox and its officers, directors, employees, agents, and suppliers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party rights; or (d) any content or information you submit, post, or transmit through the Services.

14. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your account at any time by contacting us. Termination of your account does not relieve you of any obligations to pay any outstanding fees or fulfill any pending transactions.

15. Governing Law and Dispute Resolution

These Terms and your use of the Services will be governed by and construed in accordance with the laws of the Europe, without giving effect to any conflict of laws principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Europe, and you hereby consent to the personal jurisdiction and venue therein.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services will first be resolved through good faith negotiations between the parties. If the dispute cannot be resolved through negotiations within 30 days, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction.

16. Changes to the Terms

We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website prior to the effective date of the changes. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes.

17. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and HashBox regarding the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the Services.

Waiver: Our failure to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision.

Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will be enforced to the fullest extent possible.

Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, at our sole discretion, without restriction.

Notice: We may provide you with notices, including those regarding changes to these Terms, by email, regular mail, or postings on the Services. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing.
